1) User Agreement / Terms of Use
1. About Us
This website and the products and services offered through it are provided by Operational Excellence Simplified (“we”, “us”, “our”).
2. Acceptance of These Terms
By accessing this website, creating an account, registering for a webinar, purchasing a product or service, accessing free or paid course content, downloading materials, or using PATH OEMS™, you agree to be bound by these Terms of Use.
If you do not agree with these Terms, do not use the website, register for our products, or purchase our products or services.
3. What We Offer
We may offer one or more of the following products and services:

We may add, remove, revise, reprice, rename, restructure, or discontinue products, services, features, or content at any time.
4. Product Descriptions and Sales Pages
The product description, price, access period, delivery method, session details, and any special conditions shown on the relevant product page, checkout page, course page, or written proposal form part of these Terms.
If there is a conflict between these general Terms and a written agreement or custom proposal signed or confirmed by us, the written agreement or custom proposal will apply to the extent of the conflict.
5. Licence and Permitted Use
When you purchase or are granted access to a product, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the purchased or granted content for your own permitted use during the applicable access period.
Unless we explicitly agree otherwise in writing:
- access is for one named user only
- account credentials may not be shared
- content may not be copied, distributed, resold, sublicensed, repackaged, published, uploaded elsewhere, or made available to unauthorised users
- our materials may not be taught, sold, presented, or marketed as your own system, framework, methodology, course, training, or consulting product
- organisational, team, group, or multi-user use requires the appropriate product, licence, quotation, or written permission from us
- consultant use with client organisations is permitted only to the extent allowed by the specific product purchased or by written agreement with us
6. PATH OEMS™ Use
PATH OEMS™ is a structured Operational Excellence management system and guidance product.
Access to PATH OEMS™ materials does not transfer ownership of the system, methods, templates, tools, examples, guides, training content, diagrams, process documentation, or intellectual property.
Unless explicitly stated in the product description or agreed in writing, purchasing a training product does not automatically include separate access to the full Self-Directed PATH OEMS™ product.
7. Current Product Access Rules
Access periods and delivery methods vary by product. Unless otherwise stated on the relevant product page or checkout page, the following general rules apply.
Free Products
Operational Excellence Need Assessment (OENA):
OENA is provided free of charge and may include access for a limited period, such as 30 days.
PATH OEMS™ Webinar:
The webinar is provided free of charge unless otherwise stated. Registration may require account creation or completion of a form or survey. Session links may be sent manually by email after registration and session selection.
PATH OEMS™ Free Trial:
The free trial provides limited access for a defined period, such as 60 days. Access expires automatically at the end of the trial period unless converted to a paid product.
Paid Digital Access Products
Self-Directed PATH OEMS™:
This product provides access to the applicable PATH OEMS™ materials for the stated access period, such as 12 months from purchase. Access ends at the end of the access period unless renewed, repurchased, or extended by us.
Self-Directed PATH OEMS™ Monthly:
This product provides monthly access while payment remains current. The product may use progressive or dripped access over several months, such as a six-part release over six months. If payment stops, future access and unreleased content may stop.
Self-Taught Operational Excellence Foundation Training:
This product provides self-paced digital access for the stated access period, such as 12 months, and may include a certificate upon completion of the required course activities.
Self-Taught PATH OEMS™ Deployment Training:
This product provides self-paced digital access for the stated access period, such as 12 months, and may include a certificate upon completion of the required course activities.
Live Training Products
Operational Excellence Foundation Training:
This product includes one live virtual training session, such as one 2-hour session, plus the digital course access stated on the product page. A certificate may be provided upon completion of the required activities or attendance requirements.
PATH OEMS™ Deployment Training:
This product includes multiple live virtual training sessions, such as three 4-hour sessions, plus the digital course access stated on the product page. A certificate may be provided upon completion of the required activities or attendance requirements.
Live training dates may be displayed before purchase. You are responsible for reviewing the available dates before purchasing. If the available dates do not suit you, you should not purchase the live version and should consider the relevant self-taught option where available.
Corporate Training
PATH OEMS™ Deployment Corporate Training:
Corporate training is provided by custom scope, quotation, proposal, or written agreement. Pricing, participant numbers, delivery format, licence terms, access periods, cancellation terms, and other conditions may vary by agreement.
8. Live Session Scheduling and Attendance
Where a product includes live training or a live webinar:
- sessions are delivered virtually unless otherwise stated
- available dates may be shown on the relevant product page
- you may be asked to select a preferred session date through a survey, form, or course step
- we may send the session link manually to the email address used for registration or purchase
- you are responsible for providing an accurate email address and checking your email before the session
- session availability may be limited
- attendance rules may vary by product
- missed sessions may be treated as used unless we agree otherwise in writing
For multi-session training, you are responsible for attending all sessions in the selected cohort or schedule. If you miss one session, we may, at our discretion, allow you to attend a replacement session in a future cohort, but we are not required to do so unless stated in writing.
9. Certificates
Some products may include a certificate upon completion. A certificate may require completion of required lessons, attendance at required live sessions, completion of required course activities, or other completion criteria stated in the product.
Certificates issued by us are evidence of completion of our training product only. They do not represent a government licence, professional designation, university credential, legal certification, or independent third-party certification unless explicitly stated.
10. Payments
Prices are shown in the stated currency at the point of sale. You agree to pay all applicable fees, charges, and taxes.
Where applicable:
- one-time digital access products are paid at checkout
- yearly access products are paid annually or purchased for the stated annual access period
- monthly access products are billed monthly or renewed monthly as stated at checkout
- live training products are paid before attendance unless otherwise agreed
- custom corporate training is paid according to the relevant quotation, invoice, proposal, or written agreement
If a payment fails, we may suspend or terminate access until payment is resolved.
11. Renewals and Cancellation of Recurring Access
For recurring products, renewal and cancellation terms will be stated at checkout, on the product page, or by the relevant payment platform.
If you cancel a recurring monthly plan, cancellation stops future billing only. Access may continue until the end of the current paid billing period unless otherwise stated.
Yearly access products do not automatically renew unless the checkout page, payment platform, or product page clearly states that the product renews automatically.
12. Intellectual Property
All content and materials on this website and in our products remain our property or the property of our licensors. This includes, without limitation:
- PATH OEMS™
- Operational Excellence Simplified branding
- training materials
- course content
- templates
- tools
- guides
- examples
- text
- diagrams
- frameworks
- worksheets
- process documentation
- videos, slides, and downloadable materials
- product names, logos, and branding elements
Purchase, registration, or access grants a licence to use the content under these Terms. It does not transfer ownership of any intellectual property.
You may not:
- reproduce, modify, translate, distribute, publish, sell, license, or commercially exploit our materials
- create derivative commercial products based on our materials
- remove copyright, trademark, or ownership notices
- present our system, materials, or methods as your own
- use our content to train, build, or sell a competing product, course, framework, system, or methodology
13. PATH OEMS™ is a Guidance Product
Our products are designed to support Operational Excellence learning, planning, implementation, and management. They provide structured guidance, methods, examples, and tools, but they do not guarantee a specific result, outcome, certification, operational improvement level, financial return, compliance outcome, or business transformation result.
Actual outcomes depend on many factors, including:
- user capability
- implementation quality
- organisational readiness
- leadership support
- available resources
- stakeholder engagement
- follow-through
- context, constraints, and business conditions
14. No Professional Advice
Our content is educational and practical in nature. It is not legal, financial, accounting, regulatory, medical, tax, engineering, safety, or other professional advice.
You are responsible for obtaining your own professional advice where needed.
15. Acceptable Use
You agree not to use the website, products, or services:
- unlawfully
- in a way that infringes intellectual property rights
- in a way that interferes with the website, course platform, payment platform, or services
- to copy, scrape, extract, download, or reproduce content without permission
- to share paid content with unauthorised users
- to abuse, harass, threaten, or harm us, other users, or service providers
- to misrepresent your identity, account, organisation, or authority to purchase or use the product
16. Suspension or Termination
We may suspend or terminate access, without refund where appropriate, if:
- you breach these Terms
- you fail to make required payments
- you misuse the products, website, or services
- you share access unlawfully
- your use creates legal, security, operational, reputational, or intellectual property risk
- we are required to do so by law, platform rules, or service-provider requirements
17. Updates to Content and Products
PATH OEMS™ and related products may be updated, improved, revised, expanded, reduced, corrected, or restructured over time. We are not required to preserve every prior version indefinitely.
Product improvements, corrections, restructuring, or updates do not create a right to refund unless required by law or expressly stated by us in writing.
18. Third-Party Platforms
We may use third-party platforms and providers to deliver products and services, including course platforms, payment processors, video meeting tools, webinar tools, form tools, email tools, analytics tools, and hosting providers.
Your use of those platforms may also be subject to their terms, policies, privacy notices, and technical requirements.
We are not responsible for outages, delays, errors, payment issues, access issues, or technical problems caused by third-party platforms, except to the extent required by law.
19. Limitation of Liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, exemplary, or punitive losses
- we are not liable for loss of profit, revenue, business opportunity, expected savings, goodwill, data, productivity, operational performance, or business value
- our total liability arising out of or relating to your use of the website, products, or services will not exceed the amount you paid to us for the relevant product or service in the 12 months preceding the event giving rise to the claim
Some jurisdictions do not allow certain limitations of liability. In those cases, our liability will be limited to the maximum extent permitted by applicable law.

3) Refund, Rescheduling, and Cancellation Policy
1. General Principle
This Refund, Rescheduling, and Cancellation Policy applies to products and services offered by Operational Excellence Simplified unless a product page, checkout page, written proposal, or written agreement states different terms.
Some products are digital access products, some are live training products, and some are bundles that include both digital access and live sessions. Different rules may apply to each part of a product.
2. Digital Products and Course Access
Unless otherwise stated on the product page, checkout page, or required by law:
- digital products, digital course access, downloadable materials, access-based products, and self-paced training products are non-refundable once access has been granted
- where access has been granted, partially used, or fully used, no partial refund will be provided unless we choose otherwise in writing
- if a product includes a defined access period, access ends at the end of that period unless renewed, repurchased, or extended by us
This applies to products such as:
- Self-Directed PATH OEMS™
- Self-Directed PATH OEMS™ Monthly
- Self-Taught Operational Excellence Foundation Training
- Self-Taught PATH OEMS™ Deployment Training
- other digital courses, tools, guides, templates, or downloadable materials
3. Free Products and Free Trials
Free products, freemium products, webinars, assessments, and free trials are provided as described on the relevant product page.
Access expires automatically at the end of the stated free or trial period unless converted to a paid product, renewed, or extended by us.
Because these products are free, no refund applies.
4. Monthly Access Products
For monthly access products:
- you may cancel future renewals according to the platform or payment-provider process
- cancellation stops future billing only
- amounts already paid for the current billing period are non-refundable unless required by law
- access may continue until the end of the current paid period unless otherwise stated
- if the product uses progressive or dripped content release, cancelling or failing to pay may stop future access and unreleased content
5. Yearly Access Products
Yearly access products are purchased for the stated annual access period. Unless otherwise stated or required by law:
- yearly payments are non-refundable once access has been granted
- access continues for the purchased annual period
- access ends after the annual period unless renewed, repurchased, or extended by us
6. Live Training Products
Live training products may include one or more live virtual sessions and may also include digital course access.
Unless otherwise stated:
- live training must be purchased before attendance
- available dates may be shown before purchase
- you are responsible for reviewing the available dates before purchasing
- if the available dates do not suit you, you should not purchase the live training product and should consider the relevant self-taught product where available
- live session links may be sent manually by email
- failure to receive a session link because you provided an incorrect email address, failed to check your email, or failed to complete required scheduling steps does not automatically create a refund right
7. Digital Access Included with Live Training
Where a live training product includes digital course access, the digital-access portion is treated as a digital product.
Unless otherwise stated:
- digital course access may continue for the stated period, such as 12 months
- the live-session entitlement and digital-access period may have different rules
- if a refund is granted in exceptional circumstances, we may deduct or retain the value of any digital access already granted
8. Rescheduling by the Customer
For live training sessions, the customer may request to reschedule by giving at least 48 hours written notice before the scheduled session.
If at least 48 hours written notice is given:
- we will make reasonable efforts to move you to another available session or cohort
- rescheduling is subject to availability
- we are not required to create a new session solely for one customer unless agreed in writing
If less than 48 hours notice is given:
- we may treat the session as used, or
- allow one exception at our discretion
If the customer fails to attend a scheduled session without notice, the session may be treated as used.
9. Multi-Session Training
For multi-session training products, such as PATH OEMS™ Deployment Training:
- the customer is responsible for attending all sessions in the selected schedule or cohort
- missed sessions may be treated as used
- we may, at our discretion, allow attendance at a replacement session in a future cohort
- replacement sessions are subject to availability and are not guaranteed unless agreed in writing
10. Rescheduling or Cancellation by Us
If we need to reschedule a live session, we will make reasonable efforts to offer an alternative time.
If we cancel a paid live training session and do not offer a reasonable alternative, we may provide a refund, credit, replacement session, or other remedy as appropriate and as required by law.
11. Cancellation of Live Training Products
Unless otherwise stated in writing or required by law:
- live training products are non-refundable once the first live session has taken place
- if a live training product is cancelled before any live session has taken place, any refund is at our discretion
- if the product includes digital access, the digital-access portion remains non-refundable once granted
- if a refund is granted in exceptional circumstances, we may deduct the value of digital access already granted, materials already provided, administrative costs, or sessions already delivered
12. Certificates
Where a product includes a certificate, the certificate is issued only after the applicable completion criteria are met.
Failure to complete the course, attend required sessions, or meet completion requirements does not create a refund right.
13. Bundles
Where a product includes both digital access and live training:
- the product is treated as a bundle
- digital access and live training may have different usage, refund, cancellation, and rescheduling rules
- if a refund is granted in exceptional circumstances, we may deduct the value of any access already granted, materials already provided, or sessions already delivered
14. Webinars
Unless otherwise stated:
- free webinars may be changed, rescheduled, or cancelled at any time
- if a free webinar is cancelled, no refund applies
- paid webinars, if offered, are non-refundable once the event has taken place
- if we cancel a paid webinar and do not reschedule it, we may provide a refund or credit as appropriate and as required by law
15. Corporate Training
Corporate training is governed by the relevant quotation, proposal, invoice, statement of work, or written agreement.
Corporate training may have different payment, cancellation, refund, participant, access, and licence terms.
16. Books and Physical Products
If books or physical products are sold directly by us:
- damaged or defective items may be eligible for replacement or refund in accordance with applicable law and the relevant sales-channel policy
- if sold through third-party marketplaces, the marketplace rules may apply
17. Platform and Payment Provider Rules
Some purchases, refunds, cancellations, subscriptions, and access periods may be administered through third-party platforms or payment providers. Their technical processes, timelines, and policies may affect how cancellations or refunds are processed.
